Revidert avtale med Nicolai Tangen

Norges Banks hovedstyre og påtroppende leder for kapitalforvaltningen Nicolai Tangen har reforhandlet vilkårene i arbeidsavtalen 24. august 2020.

Nordens Nyheter avdekker idag uenighet mellom NBIM`s viktigste samarbeidspartner , det amerikanske investeringsselskapet BlackRock, om veien videre i synet på aksjonærene i selskapene det investeres i fremover . NBIM stemte mot «Report on the Statement on the Purpose of a Corporation» 21. mai i år, samtidig som Black Rock inngikk en «Roundtable agreement» med en gruppe globale selskaper. Black Rock og Oljefondet ser ifølge vedlegget i denne artikkelen, ulikt på «Report on the Statement of the Corporation». Uenigheten omhandler hensynet til alle aksjonærene.

–Vi mener avtalen som hovedstyret nå har gitt sin tilslutning til svarer ut de merknadene som Stortingets finanskomité hadde til arbeidsavtalen med ny daglig leder i Norges Bank Investment Management (NBIM), sier leder for Norges Banks hovedstyre Øystein Olsen

Hovedpunktene i avtalen med Tangen er som følger:

  • Nicolai Tangen avvikler sitt eierskap i AKO Capital LLP. Han vil overdra sin eierandel og utbytterettigheter til den veldedige stiftelsen AKO Foundation. Han vil med dette ikke lenger ha noen eierinteresse i AKO Capital LLP. Det vil gjelde for all fremtid.
  • Tangen har videre meddelt at han vil endre forvaltningen av sine personlige fondsinvesteringer slik at alle midlene plasseres som bankinnskudd.

Disse forholdene er nå avklart og avtalt slik at Nicolai Tangen kan tiltre 1. september. Den faktiske gjennomføringen vil ta noe mer tid.

–Hovedstyret har ment at avtaleverket rundt Tangens arbeidsavtale var tilstrekkelig for å demme opp for potensielle interessekonflikter, men vi har selvsagt merket oss at Stortinget er av en annen oppfatning. Det har hovedstyret i dialog med Nicolai Tangen nå tatt konsekvensen av, sier Olsen.

–Jeg har tatt disse grepene for å fjerne enhver tvil om hvilken hatt jeg nå har på. Jeg vil være oljefondsjef, og har kun ett mål: Å skape verdier for fremtidige generasjoner, sier Nicolai Tangen ifølge oljefondets nettsider.

I hope this emails finds you well. Tomorrow, Thursday, May 21, As You Sow’s CEO Andrew Behar will be presenting a shareholder resolution at the BlackRock annual general meeting starting at 8 a.m. ET. The resolution asks for the production of a report on the «Statement on the Purpose of a Corporation.» In August 2019, the CEOs of 181 major corporations, including BlackRock, signed the Business Roundtable statement endorsing a new Purpose of a Corporation, saying that corporations exist for the benefit of ALL stakeholders — employees, customers, suppliers, communities, and shareholders, and rejects the notion that corporations exist solely to serve shareholder profits.

In the comments Andrew Behar will present tomorrow, he says that «Now is the time to turn words into action, to actively implement the ideas already agreed to, and create a just and sustainable economy for us and for our children.» He explains in his comments that «when a company treats its employees with dignity, retention is increased, reducing the cost of hiring and training. When products are clean and safe, they build customer loyalty. When supply chains are respected, negative brand associations are avoided. When communities are cared for, risks are reduced. All these elements of ‘stakeholder capitalism’ lead to increased loyalty, decreased risk, and higher profits for shareholders.»

The shareholder resolution asks:
1. Will BlackRock make the new Purpose of a Corporation legally binding?
2. Will BlackRock assist the thousands of companies it invests in to implement the new Purpose?  
3. Will BlackRock use the power of its $7 trillion to vote in support of shareholder resolutions?
4. As the world’s largest shareholder, will BlackRock defend its rights against restrictive rule-changes proposed by the SEC?
